ENTerms of Service — Kenotex

By installing or using Kenotex (the "App"), you agree to these Terms of Service. If you do not agree, do not use the App.

1. The Service

Kenotex is a productivity app for macOS and iOS that provides:

• Local task, calendar, habit, and Ideas management.
• Optional iCloud sync via your Apple ID.
• AI-powered parsing of natural-language input via our proxy at api.kenx.me.
• Optional paid Kenotex Pro features (available through an auto-renewing subscription or a one-time purchase).

The App is provided "as is" without warranty of any kind. We make no guarantees about availability, accuracy of AI-generated parsing, or fitness for any particular purpose.

2. Free Tier

Free use of the App includes:

• All local features (todos, calendar, habits, themes that are not Pro-gated).
• Up to 6 AI parsing calls per day, reset every 24 hours UTC.
• Manual parse mode in Ideas (you must explicitly trigger each parse).

3. Kenotex Pro: Subscription and One-Time Purchase

Kenotex Pro is available either as an auto-renewing subscription (Section 3.2) or as a one-time purchase, the Founding Member edition (Section 3.5). Both unlock the same Pro features.

3.1 What Pro Includes

Kenotex Pro includes, but is not limited to:

• Unlimited AI parsing (subject to a fair-use ceiling to prevent abuse).
• Spark idea breakdown: AI turns a single idea into shelves, tasks and subtasks.
• Additional themes and interface styles (the specific items change between versions; see the App for what is currently offered).

3.2 Auto-Renewing Subscription: Pricing & Billing

• The auto-renewing subscription is offered in two plans:
  • Monthly: priced per Apple Tier 3 (e.g., USD 2.99 / CNY 19.90; final pricing may vary by region).
  • Annual: priced per Apple Tier 25 (e.g., USD 29.99 / CNY 198.00; approximately 16% saving versus monthly).
• Payment is charged to your Apple ID at confirmation of purchase.
• Auto-renewal: subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. The cost of renewal is charged to your Apple ID within 24 hours prior to the period end.
• You can manage and cancel subscriptions through your Apple ID settings (Settings → [your name] → Subscriptions on iOS, or App Store → Account → Subscriptions on macOS), or via the in-App "Manage Subscription" link.
• Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for unused portions.

3.3 Refunds

All refunds are handled by Apple per their App Store refund policies. We have no ability to issue refunds directly. Visit reportaproblem.apple.com to request a refund. This also applies to one-time purchases; Section 3.5 describes what happens to the entitlement after a refund or revocation.

3.4 Introductory Offers, Trials & Offer Codes

From time to time we may offer an introductory price (for example, a discounted first month), a free trial, or redeemable offer codes. Eligibility (for example, introductory offers are generally limited to new subscribers) and the exact duration, price, and terms are determined by Apple and disclosed on the Apple-provided purchase or redemption sheet at the time of purchase or redemption. Unless cancelled beforehand, an introductory offer or trial automatically converts to the standard auto-renewing subscription at the regular price at the end of the offer period.

3.5 One-Time Purchase (Founding Member)

• Founding Member is a non-consumable in-app purchase that you pay for once. It does not auto-renew and is never charged again.
• "Forever" means the entitlement remains valid for as long as the Kenotex product and service are offered, and includes Pro features added in the future. AI parsing remains subject to Pro's daily fair-use ceiling (see Section 3.1). If the Kenotex product or service changes or is discontinued, Section 7 applies.
• Limited to 1,000: Founding Member is limited to 1,000 purchases, as counted by the Kenotex server. After it sells out, delays in removing it from the App Store may briefly allow purchases beyond the limit; those purchases still receive the full entitlement.
• The price is shown by the App Store at the time of purchase, and payment is charged to your Apple ID at confirmation of purchase.
• Refunds and revocation: if Apple refunds or revokes the purchase, the entitlement ends. A slot that has been sold is not returned to the limited pool.
• Restoring purchases: restoring requires the same Apple ID used for the purchase and the same Kenotex account (the App identifies your Kenotex account by your iCloud account). Ownership of the purchase across Kenotex accounts follows the same rules as the auto-renewing subscription.
• Family Sharing: one-time purchases are not available through Family Sharing.

3.6 Upgrading from a Subscription (Subscriber Credit)

• Current Kenotex Pro subscribers can buy an upgrade tier at a subscriber-credit price. Eligibility and the applicable price tier are determined by the Kenotex server from your App Store transaction history and are shown on the paywall. Upgrade tiers grant the same entitlement as the standard tier and count toward the same 1,000 limit.
• Your existing subscription is not cancelled automatically. After buying an upgrade tier, you must turn off auto-renewal of your existing subscription in the App Store (see Section 3.2); otherwise it will keep renewing and charging your Apple ID.
• Kenotex does not pro-rate refunds for the paid or unused portion of your existing subscription; any refund is handled by Apple as described in Section 3.3.

4. Your Content

You retain all rights to the content you create in Kenotex (todos, notes, events, etc.). We do not claim ownership of your data.

By submitting text to the AI parsing service, you grant us a temporary, transient license to relay it to a third-party LLM provider for the sole purpose of returning a structured response. We do not retain your input after the response.

5. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or attempt to bypass the paid-entitlement or rate-limiting mechanisms.
• Use the App to process content that is illegal, harmful, or violates the rights of others.
• Submit prompts intended to extract sensitive system instructions, jailbreak the LLM, or abuse our infrastructure.
• Resell access to Pro (including subscriptions and one-time purchases).

We reserve the right to suspend service for accounts that violate these terms.

6. Third-Party Services

• Apple iCloud and StoreKit 2 (subject to Apple's terms).
• Third-party large language model providers selected under the criteria in our Privacy Policy (the App routes requests through our proxy; we do not expose your data to providers beyond what is necessary to generate the response).

7. Service Availability & Changes

We strive to keep the App and proxy server available, but cannot guarantee uninterrupted service. We may update, modify, or discontinue features, including the AI parsing service, at any time. Material changes affecting paid users (subscription or one-time purchase) will be communicated where reasonably practical.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Kai XU or Kenotex be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to data loss, loss of profits, or business interruption, arising out of your use of the App. Total liability for any claim shall not exceed the sum of the following: the amount you paid for the Kenotex Pro subscription in the 12 months preceding the claim, and the amount you actually paid for the one-time purchase.

9. Termination

You may stop using the App at any time by uninstalling it. We may terminate or suspend your access to AI parsing or Pro features if you breach these terms. Upon termination, the surviving sections (Limitation of Liability, Your Content, Indemnification) remain in effect.

10. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date at the top reflects the latest revision. Continued use after revisions constitutes acceptance.

2. 免费版

本应用的免费使用包括:

• 所有本地功能(待办、日历、习惯、非 Pro 主题等)。
• 每天最多 6 次 AI 解析调用,每 24 小时(UTC)重置。
• 想法页中的手动解析模式(每次解析需显式触发)。

3. Kenotex Pro:自动续订订阅与一次性买断

Kenotex Pro 可以通过自动续订订阅(第 3.2 节)或一次性买断「创始会员」(第 3.5 节)获得,两种方式解锁的 Pro 功能相同。

3.1 Pro 包含的功能

Kenotex Pro 包括但不限于以下功能:

• 无限 AI 解析(为防滥用设有合理使用上限)。
• Spark 想法拆解:由 AI 将一段想法拆成分类、任务与子任务。
• 额外的主题与界面样式(具体内容随版本更新,以应用内展示为准)。

3.2 自动续订订阅:价格与计费

• 自动续订订阅提供两种方案:
  • 月度:按 Apple 第 3 档定价(例如 USD 2.99 / CNY 19.90;最终价格可能因地区而异)。
  • 年度:按 Apple 第 25 档定价(例如 USD 29.99 / CNY 198.00;相比月度大约节省 16%)。
• 购买确认时,费用由您的 Apple ID 支付。
• 自动续订:订阅会自动续订,除非在当前周期结束前至少 24 小时关闭自动续订。续订费用会在当前周期结束前 24 小时内由您的 Apple ID 扣除。
• 您可以通过 Apple ID 设置管理与取消订阅(iOS:设置 → [您的姓名] → 订阅;macOS:App Store → 账户 → 订阅),或通过应用内"管理订阅"链接进入。
• 取消会在当前计费周期结束时生效;我们不会按未使用部分按比例退款。

3.3 退款

所有退款由 Apple 按其 App Store 退款政策处理。我们无法直接发起退款。请访问 reportaproblem.apple.com 提交退款请求。一次性买断同样适用;退款或撤销后权益如何变化,见第 3.5 节。

3.4 介绍优惠、试用与优惠码

我们可能不时提供介绍价(例如首月折扣价)、免费试用或可兑换的优惠码。资格(例如介绍优惠通常仅限新订阅用户)以及具体时长、价格与条款由 Apple 决定,并在购买或兑换时由 Apple 的购买 / 兑换面板显示。除非提前取消,介绍优惠或试用将在优惠期结束时自动按标准价格转为自动续订订阅。

3.5 一次性买断(创始会员)

• 创始会员是一次性付费的非消耗型 App 内购买项目,不会自动续订,也不会再次扣费。
• 「永久」指在 Kenotex 产品与服务存续期间持续有效,并包含今后新增的 Pro 功能。AI 解析仍受 Pro 合理使用每日上限的约束(见第 3.1 节)。Kenotex 产品或服务发生变更或终止时,适用第 7 节。
• 限量 1000 份:创始会员的售出数量以 Kenotex 服务端的计数为准。售罄后,由于从 App Store 下架存在延迟,可能短暂出现超出限量的购买;超出部分照常发放权益。
• 价格在购买时由 App Store 显示;购买确认时,费用由您的 Apple ID 支付。
• 退款与撤销:买断经 Apple 退款或被撤销后,对应权益失效;已售出的名额不会返还到限量池中。
• 恢复购买:需要使用完成购买时的同一个 Apple ID,并登录同一个 Kenotex 账号(本应用通过您的 iCloud 账号识别 Kenotex 账号)。购买在不同 Kenotex 账号之间的归属规则与自动续订订阅相同。
• 家庭共享:一次性买断不支持家庭共享。

3.6 由订阅升级为创始会员(老订阅抵扣)

• 已订阅 Kenotex Pro 的用户可以按「老订阅抵扣」价格购买升级档。是否符合资格以及适用的价格档位,由 Kenotex 服务端根据您的 App Store 交易记录确定,并在付费墙中显示。升级档与标准档的权益相同,并计入同一个 1000 份限量。
• 原有订阅不会自动取消。购买升级档后,您需要自行在 App Store 关闭原订阅的自动续订(见第 3.2 节),否则原订阅会继续按周期由您的 Apple ID 扣费。
• Kenotex 不会就原订阅已付或未使用的部分按比例退款;任何退款均由 Apple 按第 3.3 节处理。

4. 您的内容

您保留对在 Kenotex 中创建的所有内容(待办、笔记、事件等)的全部权利。我们不主张对您数据的所有权。

当您向 AI 解析服务提交文本时,您授予我们一项临时的、瞬态的许可,允许我们将其转发给第三方 LLM 提供商,仅用于返回结构化响应。响应返回后我们不保留您的输入。

5. 可接受使用

您同意不进行以下行为:

• 反向工程、反编译、或试图绕过付费权益或速率限制机制。
• 用本应用处理违法、有害、或侵犯他人权利的内容。
• 提交意图提取系统提示、越狱 LLM、或滥用我们基础设施的提示词。
• 转售 Pro 访问权(含订阅与一次性买断)。

我们保留对违反本条款的账号暂停服务的权利。

6. 第三方服务

• Apple iCloud 与 StoreKit 2(适用 Apple 自身条款)。
• 按隐私政策所述标准选定的第三方大语言模型提供商(本应用通过我们的代理路由请求;我们不会向提供商暴露超出生成响应所必需的数据)。

7. 服务可用性与变更

我们努力保证本应用与代理服务器的可用性,但无法保证不间断服务。我们可能随时更新、修改、或停止某些功能(包括 AI 解析服务)。影响付费用户(订阅或一次性买断)的重大变更会在合理实际范围内进行通告。

8. 责任限制

在适用法律允许的最大范围内,Kai XU 或 Kenotex 不对因您使用本应用而产生的任何间接、附带、特殊、后果性或惩罚性损害负责,包括但不限于数据丢失、利润损失或业务中断。任何索赔的总责任不超过以下两项之和:您在索赔前 12 个月内为 Kenotex Pro 订阅支付的金额,以及您为一次性买断实际支付的金额。

9. 终止

您可以随时通过卸载停止使用本应用。如果您违反本条款,我们可能终止或暂停您对 AI 解析或 Pro 功能的访问。终止后,本条款中适用于终止后的部分(责任限制、您的内容、赔偿)仍然有效。

10. 条款变更

我们可能会不定期修订本条款。文首的"最近更新"日期反映最新修订。修订后继续使用即视为接受。
